GENERAL TERMS AND CONDITIONS OF SALE

Preamble

These general terms and conditions of sale (hereinafter the “Terms”) govern the sale of “Paddock Club” hospitality offers (hereinafter the “Packages”) offered on the occasion of the Horse GP Paris event (hereinafter the “Event”), organised by Horse GP SRL, Rue Blavier 3, 7190 Ecaussinnes, Belgium, VAT BE1018679350, represented by Mr Christophe Ameeuw (hereinafter the “Organiser”).

The Event will take place on 2 December 2026, at the Accor Arena Paris 75012, France (hereinafter the “Venue”).

The Paddock Club Package is a private hospitality offer providing access to: a dedicated lounge area offering catering and bar service, reception and personalised services, and a spectator seat with privileged visibility of the track; as well as any other services described in the sales material and/or the quotation provided to the Client prior to the order.

Any order for a Package implies the Client’s unreserved acceptance of these Terms, which shall prevail over any other document issued by the Client.


Article 1 – Purpose and scope

The purpose of these Terms is to define the conditions and arrangements under which the Organiser sells the Event Packages, to both professional clients (hereinafter “Business Client”) and private individuals (hereinafter “Private Client”).

These Terms apply equally to the Business Client and the Consumer Client (hereinafter together the “Client”).

These Terms are deemed accepted by the Client upon confirmation of their purchase.


Article 2 – Description of the Package

The detailed content of a Package is set out in the sales material and/or the commercial correspondence exchanged with the Client prior to any order. A Package is intended for one person only. Access to a spectator seat is evidenced by an (e-)ticket indicating the beneficiary’s location. This access pass (see Article 8) is unique and not personalised.

Photographs, plans, illustrations and descriptions appearing in sales materials (brochures, website, presentations) are provided for information purposes only and are not contractually binding. They may be adapted due to operational, safety or organisational constraints of the Venue, without giving rise to compensation, provided that the essential services of the Package purchased are maintained.

The Organiser reserves the right to modify the composition of a Package for operational or safety reasons, subject to informing the Client within a reasonable time and maintaining an equivalent level of service.


Article 3 – Price

The prices of the Packages are those indicated on the Order Form and/or in the written commercial correspondence between the parties in force on the day of the order. They are expressed in euros and are understood to be:

● exclusive of tax, plus VAT at the rate in force, for the Business Client

● inclusive of all taxes for the Private Client.

The Organiser reserves the right to change its prices at any time for future orders. The price applicable to the Client is that shown on the Order Form accepted by both parties, and remains unchanged for the order in question.


Article 4 – Booking and formation of the order

Any request to order a Package must be made using the Booking Form (“Paddock Club booking form”), duly completed, specifying in particular the Client’s identity, company name, full billing details, number of people, contact details and, where applicable, intra-Community VAT number.

The order is deemed firm and final only upon the Organiser’s receipt of the Booking Form and, subject to the payment terms agreed in Article 5, actual receipt of payment of the price due.

The Organiser acknowledges receipt of the order by email and confirms the availability of the requested Package. As Packages are offered in limited numbers, availability is only guaranteed upon receipt of payment; the Organiser cannot be held liable for the unavailability of a package at the time the request is processed.


Article 5 – Payment terms

The price of the Package is payable in full (100%) upon ordering.

Payment is made online in accordance with the instructions provided by the Organiser to the Client.


Article 6 – Modification or cancellation at the Client’s initiative

6.1 Change in the number of people, transfer of the order

Any request to modify the order (increase in the number of beneficiaries) must be sent in writing to paddockclub@horsegp.com. It shall only take effect after written confirmation by the Organiser and, where applicable, reissuance of the corresponding invoice, subject to availability and prior payment.

Subject to the Organiser’s prior written consent, the Client may transfer the benefit of its booking to a third party of its choice, provided it informs the Organiser no later than 7 working days before the Event and provides the identity of the new beneficiaries.

6.2 Cancellation by the Client

As the price of the Packages is payable in full upon ordering in consideration for a firm booking, any cancellation at the Client’s initiative, whatever the reason, shall only give rise to a refund under the following conditions:

- up to 30 working days before the event: 50% refund
- from 30 working days before the event: no refund.

Refund requests eligible under this schedule must be sent by the Client to paddockclub@horsegp.com.


Article 7 – Modification, postponement or cancellation at the Organiser’s initiative

7.1 Minor modification

The Organiser may make minor changes to the Event and/or the Package (schedule, Venue layout, programme, menu) for operational, sporting, health or safety reasons, without this constituting a breach of contract, provided that the nature and overall value of the Package are preserved.

7.2 Postponement or cancellation of the Event

In the event of postponement of the Event by the Organiser (other than in a case of force majeure referred to in Article 14), orders already registered remain valid for the new date, unless the Client, within 14 days of the announcement of the postponement, informs the Organiser of its wish to be refunded.

In the event of final cancellation of the Event by the Organiser (other than in a case of force majeure referred to in Article 14), the Client shall be refunded the full amount paid.


Article 8 – Access and security

Access passes are sent to the Client in accordance with the arrangements specified by the Organiser (digital and/or issued on site), after payment in full and, where applicable, submission of the list of beneficiaries’ names within the time limit set by the Organiser, which shall not be less than 15 days before the Event.

Access to the Venue and to the Paddock Club area is subject to compliance with the Venue’s internal regulations, safety instructions and, where applicable, checks (bag searches, detection). Package Clients undertake to comply with these.

The Client is informed that the consumption of alcoholic beverages, where included in the Package, is reserved for persons of legal age and must be carried out in moderation, in accordance with applicable law; the Organiser reserves the right to limit or refuse service.

The Organiser reserves the right to refuse access to the Venue to any person whose behaviour is likely to disturb public order, threaten the safety of persons or property, or contravene the Venue’s internal regulations, without this giving rise to any refund or compensation.


Article 10 – Liability and insurance

The Organiser undertakes to use all reasonable means to ensure the smooth running of the Event and the provision of the services included in the Package. Its liability cannot be engaged in the event of force majeure, an act of a third party or the Client, or circumstances beyond its control affecting the Event (weather conditions, decision of a public authority, sporting incident, etc.).

The Organiser takes out the standard event organiser’s civil liability insurance customary for this type of event. It is for the Client to take out, if it considers it useful, any supplementary insurance (cancellation, repatriation, damage to personal property).

In any event, other than in the case of bodily injury, gross or intentional misconduct, the Organiser’s liability is limited to the total amount actually paid by the Client for the Package concerned.

The Organiser accepts no liability in the event of theft, loss or damage to personal belongings of the Client or beneficiaries during the Event.


Article 9 – Client’s obligations

The Client undertakes to inform the Package beneficiaries of these Terms, the Venue’s internal regulations and any instructions issued by the Organiser, and to be responsible for their conduct during the Event.


Article 11 – Intellectual property and image rights

All elements (trademarks, logos, visuals, content) relating to the Event, the Venue, Horse GP Paris and the Paddock Club remain the exclusive property of the Organiser / the Venue or their partners and may not be reproduced, represented or exploited without prior written authorisation.

The Client is informed that photographs and video footage may be taken during the Event, including in the Paddock Club area, and used by the Organiser for institutional or promotional communication purposes, unless express objection is communicated in writing prior to the Event.


Article 12 – Personal data

The personal data collected at the time of booking (identity, contact details, billing address, information relating to beneficiaries) is processed by the Organiser and its partners involved in producing and marketing the Event, as data controllers, for the purposes of managing the order, invoicing, issuing access passes and, subject to the

Client expressing non-consent, in accordance with Regulation (EU) 2016/679 (“GDPR”) and amended French Act No. 78-17 of 6 January 1978.

This data is retained for the period necessary to manage the business relationship and to comply with legal retention obligations (in particular accounting obligations), and is only disclosed to the Organiser’s service providers strictly necessary for the performance of the Package (security, access control, ticketing).

In accordance with applicable regulations, the Client has the right to access, rectify, erase, restrict and object to the processing of its data, and the right to data portability, which it may exercise by writing to paddockclub@horsegp.com. The Client also has the right to lodge a complaint with the Commission Nationale de l’Informatique et des Libertés (CNIL).


Article 13 – Complaints and consumer mediation

Any complaint relating to the order or performance of the Package must be sent to the Organiser at paddockclub@horsegp.com, who undertakes to respond as soon as possible.


Article 14 – Force majeure

Neither party may be held liable for the non-performance or delayed performance of any of its obligations resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code and the case law of French courts, including in particular (without limitation): natural disaster, fire, epidemic or pandemic, decision of an administrative or governmental authority, strike, armed conflict, terrorist attack, or any other circumstance beyond the Organiser’s reasonable control making it impossible to hold the Event.

In the event of force majeure resulting in the cancellation of the Event, the Organiser shall inform the Client as soon as possible and shall consider, to the extent possible, arrangements for postponement or partial refund, after deduction of costs already incurred and non-recoverable in connection with the organisation of the Event, without the Client being entitled to any further compensation.


Article 15 – Governing law and jurisdiction

These Terms are governed by French law.


Article 16 – Miscellaneous provisions

Should any provision of these Terms be declared void or unenforceable under any applicable rule of law or a final court decision, it shall be deemed unwritten, without affecting the validity of the other provisions, which shall remain in full force and effect.

The fact that the Organiser does not, at any given time, avail itself of any of these Terms may not be construed as a waiver of its right to do so at a later date.

The Organiser reserves the right to amend these Terms at any time. The Terms applicable to an order are those in force on the date of that order.

The Order Form, these Terms and, where applicable, the Package’s sales material or the commercial correspondence established between the parties constitute the entire agreement between the parties and shall prevail over any prior exchange, oral or written, relating to the same subject matter.
